1. Who we are & acceptance

UGotTea ("UGotTea", "we", "us" or "our") provides an AI companion application that lets you exchange messages with artificial-intelligence characters, take part in group chats, use story-mode roleplay, and create your own characters and scenarios (the "Service"). These Terms of Service ("Terms") form a binding agreement between you and UGotTea governing your use of the Service, whether you access it through our website or a mobile application.

By accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.

2. Eligibility & age requirement

The Service is intended for adults only. You must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) to create an account or use the Service. By using UGotTea you represent and warrant that you meet this requirement.

The Service is not directed to children, and we do not knowingly permit anyone under 18 to use it. If we learn that a person under the required age has created an account, we may suspend or delete it.

3. Your account

You may need an account to use certain features. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity that occurs under your account. Where available, we strongly encourage enabling two-step verification.

You are responsible for maintaining the security of your account and for any use made of it. Notify us promptly at [email protected] if you suspect unauthorised access. We may limit the number of devices that can be signed in at once.

4. The nature of AI companions

AI characters are fictional. Every character, persona and message in the Service is generated by artificial intelligence for entertainment and companionship. Characters are not real people, are not conscious, and do not represent any real individual unless you deliberately create such a resemblance (which you agree not to do without rights to do so).

AI output may be inaccurate. Generated content can be wrong, misleading or offensive, and should not be relied upon as fact. The Service does not provide professional advice of any kind — medical, legal, financial, psychological or otherwise. If you are in crisis or need help, contact a qualified professional or your local emergency services.

5. Acceptable use

You agree not to use the Service to create, request, upload, share or generate content that:

• sexualises or depicts minors in any way, or involves child sexual abuse material;
• promotes, incites or facilitates violence, terrorism, self-harm, or serious harm to others;
• harasses, threatens, defames, stalks or impersonates any real person;
• is unlawful, infringes others' rights, or violates the privacy of real individuals;
• contains malware, or attempts to disrupt, overload, reverse-engineer or gain unauthorised access to the Service;
• attempts to bypass safety filters, rate limits, or usage restrictions, or to scrape or resell the Service; or
• uses the Service to build a competing product or to train other AI models.

We may use automated and manual methods to enforce these rules and may remove content or restrict accounts that breach them.

6. User content & characters

"User Content" means the messages, characters, scenarios, prompts, images and other material you create or submit. You retain ownership of your User Content. You grant UGotTea a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process and display your User Content solely to operate, secure, improve and provide the Service to you.

You are solely responsible for your User Content and represent that you have the rights necessary to submit it and that it does not violate these Terms or any law. We are not obliged to monitor User Content but may review, remove or restrict it at our discretion.

7. Subscriptions, tiers & payments

The Service offers a free tier and may offer paid tiers or subscriptions that unlock higher usage limits and additional features. Prices, limits and features are described at the point of purchase and may change with notice.

Paid plans renew automatically unless cancelled before the renewal date. Where payments are processed through a third-party platform (for example an app store), that platform's billing terms, refund policies and cancellation processes also apply. Except where required by law, fees are non-refundable.

8. Intellectual property

The Service, including its software, design, branding, logos, built-in characters and scenario artwork, is owned by UGotTea or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you here, we reserve all rights. You may not copy, modify, distribute, sell or create derivative works from any part of the Service except your own User Content.

9. Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends, and we may delete your account and associated content, subject to our Privacy Policy and applicable law.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that generated content will meet your expectations.

11. Limitation of liability

To the fullest extent permitted by law, UGotTea and its officers, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits, or goodwill, arising from or related to your use of (or inability to use) the Service. To the extent liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us in the twelve months before the claim, or USD 50.

12. Indemnification

You agree to indemnify and hold harmless UGotTea from any claims, damages, losses and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your breach of these Terms or of any law or third-party right.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you within the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.

14. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which UGotTea is established, without regard to conflict-of-law rules. You agree to first attempt to resolve any dispute with us informally by contacting us. Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, except where mandatory local consumer-protection law provides otherwise.
